Terms & Conditions

1. Definitions

In these Terms and Conditions:

• "TranscendAI", "we", "us", or "our" refers to TranscendAI and its affiliates.
• "AI Employee" refers to any artificial intelligence agent, bot, or automated system provided through our platform.
• "Customer", "you", or "your" refers to the individual or entity subscribing to our services.
• "License" refers to the non-exclusive, non-transferable right to use an AI Employee.
• "Subscription" refers to your paid access to AI Employee services.

2. License Grant & Restrictions

Subject to these Terms and your payment of applicable fees, TranscendAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use AI Employees solely for your internal business operations.

You agree NOT to:

• Share, resell, sublicense, or transfer your AI Employee access to any third party
• Use AI Employees on behalf of any entity other than the registered account holder
• Attempt to extract, copy, or replicate AI Employee behavior, responses, or capabilities
• Create derivative works based on AI Employee outputs for the purpose of building competing services
• Use automated tools to harvest, scrape, or collect AI Employee responses at scale
• Circumvent any security measures, license keys, or access controls
• Share login credentials, API keys, or access tokens with unauthorized users
• Exceed your subscribed usage limits or manipulate usage tracking systems

3. Security & Access Controls

Each AI Employee subscription includes:

• Unique License Key: A cryptographically generated key tied to your account
• API Authentication: Secure OAuth 2.0 / API key authentication for all integrations
• Usage Monitoring: Real-time tracking of interactions, API calls, and resource usage
• Session Management: Automatic session expiration and re-authentication requirements
• IP Allowlisting: Optional restriction of access to approved IP addresses
• Audit Logging: Complete audit trail of all AI Employee activities

4. Intellectual Property Rights

TranscendAI retains all rights, title, and interest in:

• All AI Employee technology, algorithms, models, and systems
• Training methodologies, prompts, and configurations
• Platform infrastructure, APIs, and interfaces
• Trademarks, logos, and brand assets
• Documentation, training materials, and support content

Your subscription grants usage rights only. No ownership or intellectual property rights are transferred to you.

5. Customer Data & Privacy

Your Data: You retain ownership of all data you input into AI Employees. We process your data solely to provide the services.

Data Security: All data is encrypted in transit (TLS 1.3) and at rest (AES-256). We maintain SOC 2 Type II compliance standards.

No Training: We do NOT use your data to train our AI models. Your business information remains confidential.

Data Retention: Upon subscription termination, your data is retained for 30 days for recovery purposes, then permanently deleted.

6. Acceptable Use Policy

You agree to use AI Employees only for lawful purposes. Prohibited uses include:

• Any illegal, fraudulent, or harmful activities
• Harassment, abuse, or threatening communications
• Spam, phishing, or deceptive practices
• Distribution of malware or malicious content
• Violation of any third-party rights
• Activities that could damage TranscendAI's reputation
• Circumventing security controls or access restrictions

7. Service Level Agreement

Uptime Commitment: We target 99.9% uptime for all AI Employee services.

Support Response:

• Starter/Professional: 24-hour response time
• Team/Bundle: 12-hour response time
• Enterprise: 4-hour response time with dedicated support

Scheduled Maintenance: We provide 48-hour advance notice for planned maintenance windows.

8. Payment Terms

• All subscriptions are billed monthly in advance via Stripe
• Prices are in USD unless otherwise specified
• Failed payments result in service suspension after 7-day grace period
• No refunds for partial months upon cancellation
• Price changes are communicated 30 days in advance

9. Termination

By You: Cancel anytime from your dashboard. Access continues until the end of your billing period.

By Us: We may terminate or suspend your access immediately for:

• Breach of these Terms
• Non-payment
• Fraudulent or illegal activity
• Attempts to duplicate, reverse engineer, or steal AI Employee technology
• Sharing access credentials with unauthorized parties

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• TranscendAI's total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for losses resulting from unauthorized access due to your failure to secure credentials
• AI Employees are provided "as is" without warranty of fitness for a particular purpose

11. Indemnification

You agree to indemnify and hold harmless TranscendAI from any claims, damages, losses, or expenses arising from:

• Your use of AI Employees
• Your breach of these Terms
• Your violation of any third-party rights
• Any content or data you process through our services

12. Dispute Resolution

Any disputes shall be resolved through:

1. Negotiation: Good faith discussions for 30 days
2. Mediation: If negotiation fails, non-binding mediation
3. Arbitration: Binding arbitration under ICC rules

Governing Law: These Terms are governed by the laws of South Africa, without regard to conflict of law principles.

13. Modifications

We may update these Terms at any time. Material changes will be communicated via email and dashboard notification 30 days before taking effect. Continued use after changes constitutes acceptance.

14. Entire Agreement

These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and TranscendAI regarding the services.
